Client moved this matter to BH2I after prior counsel achieved nothing but exposing the client to international arbitration matter and excessive legal fees. Analysis of existing hotel management agreement documentation to discover counterparty breaches and obtain leverage for client in settlement discussions. Negotiate abeyance of arbitration, settlement agreement and restructured deal documentation. Preparation of revised development documents implementing revised fee structure. Converted a potential expensive and resource draining litigated matter into a successful hotel reopening under revised transaction terms and renewed partnership between former litigants in 5 months.
Privately held Singapore Real Estate Developer and Hotel Owner:
BH2I acted as a sole counsel advising Singaporean investor on new market entry into Madagascar via the acquisition of a luxury hotel, including (i) performing comprehensive due diligence on all underlying assets, (ii) advising on, and implementation of, foreign direct investment from Singapore to Madagascar, (iii) transaction structuring and the establishment of a new corporate operating vehicle, (iv) creating offshore guarantee and security structures, and (v) advising on all aspects of the acquisition and integration of an existing business into the client’s cross border platform, including 3 pipeline hotel projects located in Madagascar.
